Infineon: Successful completion of the acquisition of Marvell’s Automotive Ethernet business

August 14, 2025. Infineon Technologies AG has completed the acquisition of the Automotive Ethernet business of Marvell Technology, Inc (NASDAQ: MRVL). The transaction agreement had already been announced in April 2025 and all necessary regulatory approvals have been granted in the meantime. The acquisition strengthens Infineon’s system competence for software-defined vehicles and further expands its leading position in the field of microcontrollers for automotive applications.

“With this transaction, we are strengthening our leading position in automotive semiconductors and reaffirming our strategy of profitable growth,” says Jochen Hanebeck, CEO of Infineon. “Together with our customers and partners and with an even more comprehensive portfolio, we are driving the transformation to the software-defined vehicle. In addition, the acquisition opens up new opportunities in the field of physical AI, such as humanoid robots. We are excited to welcome several hundred highly qualified and motivated employees to the Infineon team and to take Ethernet technology to new dimensions.”

Ethernet is a key technology for low-latency and high-bandwidth communication. The technology transmits large amounts of data quickly and reliably between components such as microcontrollers, processors and sensors. It is therefore indispensable for software-defined vehicles and also has considerable potential in related application areas such as humanoid robots. The transaction will enable Infineon to combine the strengths of Marvell’s automotive Ethernet portfolio with its own microcontroller and systems expertise to provide customers with even more comprehensive solutions.

“We are incredibly proud of what our team has accomplished in building a world-class automotive Ethernet business,” said Matt Murphy, Chairman and CEO of Marvell. “Through relentless innovation and close partnerships across the automotive industry, the team has achieved a leadership position in this important technology area. Infineon is the right company to take the business to the next level: With the necessary economies of scale, a broad portfolio as well as a wide customer base, it can realize the full potential. We are confident that this move will create exciting opportunities for further growth and we look forward to seeing the team grow as part of Infineon.”

Ethernet connectivity solutions are critical for software-defined vehicles as they are the backbone of communication for E/E architectures. Marvell’s Brightlane™ automotive Ethernet portfolio, which includes PHY transceivers, switches and bridges, offers high-performance networking capabilities that support data rates from 100 Mbps to 10 Gbps and provide the necessary security features for current and future vehicle networks.

The company’s design-win pipeline of approximately $4 billion through 2030 and strong innovation roadmap offer significant potential for future revenue growth. In calendar year 2025, the company is expected to generate sales of USD 225 to 250 million with a gross margin of around 60 percent. The purchase price amounts to 2.5 billion US dollars. Infineon is financing the acquisition through a combination of existing cash and cash equivalents and additional debt. The company has secured bank financing for the acquisition.

Infineon intends to further expand the newly acquired Ethernet business through innovation and its rapid translation into customer value. The entire Ethernet expertise will be bundled in the newly created “Ethernet Solutions” business unit within Infineon’s Automotive segment. The acquisition will further strengthen Infineon’s already strong presence in the US, including extensive research and development activities.
